Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Pivlu platform ("Service"), operated by Host Server SRL ("Company", "we", "us", "our"), a company registered in Romania, VAT ID: RO46725988.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

Pivlu is an all-in-one SaaS platform that provides businesses with tools including website builder, online store, booking system, CRM, invoicing, web analytics, live chat, team workspaces, email platform, and other integrated business applications.

The Service is provided "as is" and is continuously evolving. We reserve the right to modify, suspend, or discontinue any feature or functionality at any time, with or without notice.

2. Eligibility

You must be at least 18 years old to use the Service. By using Pivlu, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement.

3. Account Registration

To access the Service, you must create an account by providing accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.
• Notifying us immediately at office@pivlu.com if you suspect unauthorized access.

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

4. Free Trial

We offer a 14-day free trial for new accounts. During the trial period, you have full access to the Service features included in your selected plan. No payment information is required to start a trial.

At the end of the trial period, your account will be suspended unless you subscribe to a paid plan. Your data will be retained for 30 days after trial expiration, after which it may be permanently deleted.

5. Subscription and Payments

The Service operates on a subscription basis. By subscribing to a paid plan, you agree to the following:

• Subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select.
• All prices are displayed in the currency indicated on our pricing page and are exclusive of applicable taxes unless stated otherwise.
• You authorize us to charge your payment method on file for recurring subscription fees.
• Failure to pay may result in suspension or termination of your account.

We reserve the right to change pricing at any time. Price changes will be communicated at least 30 days in advance and will apply at the start of your next billing cycle.

6. Refund Policy

All subscription payments are non-refundable. Because we offer a 14-day free trial with full access to the platform, we do not provide refunds for subscription fees once charged.

If you cancel your subscription, you will retain access to the Service until the end of your current billing period. No partial refunds will be issued for unused time.

7. Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation:

• Your subscription will remain active until the end of the current billing period.
• After the billing period ends, your account will be downgraded and access to paid features will be restricted.
• Your data will be retained for 30 days after the subscription ends. After this period, your data may be permanently deleted.
• You may export your data before the retention period expires.

8. Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, national, or international law or regulation.
• Send spam, unsolicited communications, or bulk messages.
• Distribute malware, viruses, or any other harmful software.
• Infringe on the intellectual property rights of others.
• Engage in fraud, phishing, or deceptive practices.
• Host or distribute illegal, defamatory, obscene, or hateful content.
• Attempt to gain unauthorized access to the Service, other accounts, or related systems.
• Use the Service to mine cryptocurrency or perform computationally abusive tasks.
• Resell access to your account credentials (reselling services built on Pivlu is permitted).

We reserve the right to suspend or terminate accounts that violate this policy, without prior notice and without refund.

9. Reselling and Client Use

You may use Pivlu to provide services to your own clients (e.g., building websites, managing bookings, or processing invoices on behalf of your clients). You remain responsible for your clients' compliance with these Terms.

You may not resell direct access to the Pivlu platform itself or your account credentials.

10. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is the exclusive property of Host Server SRL and is protected by copyright, trademark, and other intellectual property laws.

You retain full ownership of all content, data, and materials you upload or create using the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to store, process, and display Your Content solely for the purpose of providing the Service to you.

We do not claim any ownership rights over Your Content. Upon termination of your account, you may request an export of Your Content.

11. Data Privacy and Security

We take data privacy seriously. Our handling of personal data is governed by our Privacy Policy, which forms part of these Terms.

Key points:

• Your data is stored on servers located in the European Union (France and Germany).
• We comply with the General Data Protection Regulation (GDPR) and applicable Romanian data protection laws.
• We implement industry-standard security measures to protect your data, including encryption in transit and at rest.
• We do not sell, share, or disclose your data to third parties except as necessary to provide the Service or as required by law.

12. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible).
• Unplanned outages caused by factors beyond our control.
• Force majeure events.

We are not liable for any losses or damages resulting from Service downtime.

13. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
• We do not warrant that the Service will be error-free, secure, or meet your specific requirements.
• Our total liability for any claims arising from your use of the Service shall not exceed the total amount you paid to us in the 12 months preceding the claim.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

14. Indemnification

You agree to indemnify and hold harmless Host Server SRL, its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any third-party rights.
• Content you upload, publish, or distribute through the Service.

15. Third-Party Services

The Service may integrate with or link to third-party services (e.g., Stripe for payments, Postmark for email delivery). Your use of such services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

16. Termination

We may suspend or terminate your account at any time if:

• You breach these Terms.
• You engage in abusive, illegal, or harmful activity.
• Your account has been inactive for an extended period.
• Required by law or regulation.

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow for export, after which it may be permanently deleted.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page.
• Notify you via email or an in-app notification at least 14 days before the changes take effect.

Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and cancel your subscription.

18. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of Romania, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or the Service shall be resolved through the competent courts of Romania. Before initiating legal proceedings, both parties agree to attempt to resolve disputes amicably through direct negotiation.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
